一、关于本协议

本协议是由顺丰与所有使用顺丰国际件下单系统的主体(包括但不限于个人、团体等,以下简称“用户”“您”)针对顺丰产品和服务的使用所订立的有效协议。

“顺丰”指寄件地的顺丰速运有限公司的子公司、分公司、关联公司、代理和独立承包商。

在您使用我们的某项产品或服务时,我们可能需要您单独同意一些针对该产品或服务的附加条款,例如《快件运单契约条款》。此类附加条款将会与相关产品或服务一同提供,并且在您使用相关产品或服务后,成为您与我们所达成的协议的一部分。

二、账户注册和管理

在您使用我们的产品或服务之前,您需要注册成为我们的用户。在开始注册之前,您声明并保证您具备与我们达成本协议及接受我们的产品或服务的行为能力。 如您不具备与您的行为相适应的行为能力,您和您的监护人应承担因此而导致的全部后果。 如果您未满18周岁,请不要注册使用我们的产品或服务。如果您确有需要,请寻求您的父母或监护人的帮助。

在您进行用户注册时,我们会要求您向我们提供具体的个人信息,包括所在国家/地区、电子邮件地址、手机号码。我们将根据我们的《隐私政策》 (https://www.sf-express.com/cn/sc/Privacy_Policy/)使用这些信息(更多有关内容,请参见如下第五部分“用户隐私保护”)。 在您确认注册后,我们会向您提供的邮箱发送一封邮件,并要求您依据该邮件完成进一步激活或验证流程。为顺利地向您提供产品和服务, 您声明并保证您提供的相关信息真实、完整且准确。

注册成为我们的用户后,您将拥有您的顺丰账户。您可以进入您的账户进行单票下单、批量下单,或查询您的快件状态等。您应当妥善保管您的登录账号和密码,避免使用过于简单的密码。如您遗忘您的密码,或希望修改您的密码,您可以随时进行密码找回或修改。在您找回或修改密码时,我们可能要求您提供相关信息,例如注册邮箱、手机号码等,以验证您的身份。 用户通过账号、密码登录后使用我们的产品或服务的行为,均视为用户本人行为,用户应当承担由此导致的相关后果和责任。因非顺丰原因导致用户的账号、密码遗失、遗忘或被他人窃取的,顺丰不承担责任。 如果您发现您的账号、密码被盗用,或个人数据遭到泄漏,请立即与我们联系。

您有权随时注销您的顺丰账户。一旦您确认注销账户,您的账号将无法继续使用。在您确认注销账户后30日内,您可以取消账户注销,并可以通过重新注册复原账户。如您在前述期限内未取消注销,您的账号可能被不可恢复地注销,且您的账户信息可能被永久删除或作匿名化处理。关于我们保存您的个人数据的期限以及删除规则,请参见《隐私政策》 (https://www.sf-express.com/cn/sc/Privacy_Policy/)。

三、用户使用须知

在使用我们的产品或服务时,请注意遵守可适用的法律法规以及本协议和附加条款。您同意不会滥用我们的产品或服务。例如您同意不会干扰我们的产品或服务的正常使用或尝试通过我们提供的界面和说明以外的方法访问我们的产品或服务。您同意在适用法律允许的范围内使用我们的产品或服务。 如果您没有遵守可适用的法律法规以及与我们的约定,或被发现存在任何不当的行为(包括但不限于任何损害顺丰或他人合法权益的行为),我们将暂停或停止为您提供产品或服务,必要时可能关闭您的账户。 请勿删除、隐藏或更改我们的产品或服务上显示的或随附一同显示的任何法律声明。在您使用我们的产品或服务的过程中,我们可能会给您发送服务公告、管理消息和其他信息。您可以选择不接收上述某些信息。

四、产品和服务的变更与终止

顺丰始终在不断优化和改善我们的产品和服务。我们可能会增加或移除一些功能和特性,也可能会暂停或完全停止一项产品或服务。虽然对于您的离开我们将深感遗憾,但是您仍然可以随时停止使用我们的产品或服务。同时,顺丰也可以随时停止为您提供产品或服务或为我们的产品或服务增加和创立新的限制。如果我们终止提供一项产品或服务,我们将会给您一个合理的预先通知,并让您有机会了解更多相关信息。

五、用户隐私保护

六、知识产权

顺丰国际件下单系统以及我们的域名、网站设计、文本、LOGO、商标、图形、源代码、软件等相关内容的知识产权均属于顺丰所有,您同意尊重并严格遵照可适用的法律法规及本协议和附加条款的规定使用。对于特定事项,如无具体的权利声明,并不代表顺丰对其不享有权利,也不意味着顺丰放弃权利或不主张权利。使用我们的产品或服务并不使您享有我们的产品或服务或您所访问的内容的任何知识产权。这些产品和服务条款并没有赋予您使用我们的产品或服务的标志或商标的权利。

七、担保、责任限制与免责声明

我们通过商业上合理的技术和关注水平来为您提供我们的产品和服务,并且我们希望您在使用过程中能感到愉悦。 但是,除本协议和附加条款中明确的顺丰已对产品或服务做出的特殊承诺外,在适用法律允许的范围内,我们不对我们的产品或服务做出保证。 例如我们不会为了满足您的需求而做出关于产品或服务内容、特殊的产品或服务的功能、或者其可靠性、可用性以及能力上的承诺。

在法律允许的范围内,顺丰将不会承担利益、收入、数据和财务损失,以及间接的、特殊的、结果性的、惩戒性的、惩罚性的损失。在适用法律允许的范围内,顺丰对于本协议项下任何索赔(包括任何默示保证)的全部赔偿责任限于您因使用我们的该产品或服务而向我们支付的金额(或我们亦可选择,再次向您提供该产品或服务)。在任何情况下,顺丰对于任何不能合理预见的损失或损害不承担责任。 如果您出于个人目的而使用我们的产品或服务,对于任何不能通过合同放弃的消费者法定权利,本协议或附加条款不作限制。

为给您提供便利和更多信息,我们可能会通过第三方平台(如应用商店供应商)或其他第三方渠道向您提供产品或服务,或在我们的网站和应用嵌入第三方应用、工具、小部件和插件(如支付工具)。上述第三方服务由该第三方独立运营并独立承担责任。 因第三方服务产生的纠纷,或您在使用第三方服务时遭受损失的,须由您与第三方协商解决,顺丰对此不承担责任。

八、通知和修订

顺丰对本协议及附加条款的所有内容享有修订权和适用法律范围内的解释权。为反映法律的变更、产品或服务的变化或其他原因,我们可能对本协议及附加条款进行修改,并在我们的网页上公布相关条款的修改通知,建议您定期查阅。所有修改的适用不具有追溯力,且会在公布十四(14)天或更长时间后方始生效。但是,对产品或服务新功能的特别修改或由于法律原因所作的修改将立即生效。 如果您不同意我们对相关条款的修改,您有权停止使用我们的产品或服务。如您继续使用我们的产品或服务,则视为您接受我们对于相关条款的修改。

九、法律适用和争议解决

本协议之订立、解释、变更、履行与争议解决均适用中华人民共和国(以下简称“中国”,为本协议之目的,不含香港、澳门、台湾地区)法律法规。如双方就 本协议的内容或其执行发生任何争议,双方应友好协商解决;协商未成的,任何一方均可向顺丰所在地人民法院提起诉讼。

为免疑义,某些国家/地区的法院无法适用中国的法律来处理某些类型的法律纠纷。如果您居住在上述国家/地区,当中国法律不适用时,将适用您所在国家/地区的法律处理与本协议相关的纠纷。否则,您同意,中国的法律将适用于因本协议引起的或与之相关的任何纠纷。同样地,对于与本协议相关的纠纷,如果您所在的国家/地区的法院禁止您同意中国法院享有管辖权并作为管辖地,将适用您当地的法院管辖权和管辖地。否则,您同意,因本协议引起的或与之相关的所有纠纷,只能向中国法院提起诉讼。

十、其他

如本协议与附加条款存在冲突,以附加条款为准。本协议约束顺丰与您之间的关系,且不创设任何第三方受益权。如果您不遵守本协议,且我们未立即采取行动,并不意味着我们放弃我们可能享有的任何权利(例如在将来采取行动)。如果本协议某一条款不能被强制执行,其不影响其他条款的效力。

Welcome to the International Business System! Before registering as our user, please carefully read and fully understand all the contents of the “SF International Business System User Agreement” (hereinafter referred to as the “Agreement”), especially those displayed in bold font, since they may include your obligations or limit your rights, exclude or limit the liability of SF. 。 If you do not agree to this Agreement or any of its terms, please stop registrating or using our products or services immediately. If you stop registration, you can only browse our web pages, but you cannot obtain our products or services. Your completion of registration or use of our products or services confirms that you have fully understood and agreed to the contents of this Agreement and accepted to be bound by the terms of this Agreement.

I. About this Agreement

This Agreement is the legally binding agreement between SF and all the subjects that use SF International Business System (including but not limited to individuals and organizations, hereinafter referred to as “users” or “you”) governing the use of SF products and services.

"SF" refers to S.F. Express Co., Ltd. and its subsidiaries, branches, affiliates, agents, and independent contractors in the country/region where the consigner is located in.

When you use one of our products or services, we may need your separate agreement to the Additional Terms for that product or service, such as the “Waybill Terms & Conditions”. Such Additional Terms will be provided together with the related products or services, and after you use the related products or services, they will become part of the agreement between you and us.

II. Account Registration and Management

Before you use our products or services, you need to register to become our user. Before starting the registration, you represent and warrant that you have the legal ability to enter into an agreement with us and accept our products or services. If you do not have the legal ability that matches your performance of any act, you and your legal guardian shall bear all the consequences arising therefrom. If you are under the age of 18, please do not register for our products and services. If you need our products or services indeed, please rely on a parent or guardian to assist you.

When you register to become a user, we will ask you to provide us with certain personal information. including your country/region, email address, and mobile phone number. We will use this information in accordance with our Privacy Policy (https://www.sf-express.com/cn/sc/Privacy_Policy/) (for more information see V. User Privacy Protection below). After you confirm your registration, we will send an email to you and ask you to complete the activation or verification process. In order to provide you with the products and services smoothly, you represent and warrant that the relevant information you provide is true, complete and accurate.

After registration, you will have your SF account. You can log in your account to place an order or batches of orders or track the status of your shipments. You agree to be responsible for maintaining your login account and password properly and avoid using compromised passwords. If you forget your password, or want to change your password, you can retrieve or change your password at any time. When you retrieve or change your password, we may ask you to provide relevant information, such as registered email address or mobile phone number, etc., to verify your identity. Any user’s use of our products or services after logging in with the account and password constitutes the user’s own behavior, and the user shall bear the relevant consequences and responsibilities caused thereby. SF shall not be held liable if the user’s account or password is lost, forgotten or stolen by others for any reason outside of SF’s control. If you consider that your account or password has been stolen, or your personal data has been leaked, please contact us immediately.

You have the right to cancel your SF account at any time. Once you confirm the cancellation of your account, your account will no longer be used. Within 30 days after you confirm the cancellation of your account, you can cancel the account cancellation, and you can restore your account by re-registering. If you do not cancel the cancellation within the aforementioned period, your account may be irreversibly cancelled, and your account information may be permanently deleted or anonymized. Please refer to the Privacy Policy (https://www.sf-express.com/cn/sc/Privacy_Policy/) for the period for which we retain your personal data and the applicable deletion rules.

III. Terms of Use

When using our products or services, you agree to comply with all applicable laws and regulations as well as this Agreement and the Additional Terms. You agree not to misuse our products or services. For example, you agree not to interfere with the normal use of our products or services or attempt to access our products or services through means other than the interface and instructions provided by us. You agree to use our products or services only to the extent permitted by the applicable laws. If you fail to comply with any applicable laws, regulations or agreements with us, or are found to have engaged in any inappropriate behavior (including but not limited to any acts that damage the rights and interests of SF or third parties), we may suspend or stop providing you with our products or services and may close your account if necessary. You agree not to remove, conceal or alter any legal notices displayed on or accompanying our products or services. In the course of your use of our products or services, we may send you service announcements, management messages and other information. You may choose not to receive some of these messages.

IV. Changes and Termination of Products and Services

SF is dedicated to optimizing and improving our products and services. We may add or remove features and functionality, or we may suspend or discontinue a product or service altogether. While we would be sorry to see you go, you may stop using our products or services at any time. SF may also discontinue providing you with products or services or add and create new restrictions to our products or services at any time. If we discontinue offering a product or service, we will give you a reasonable notice in advance and give you the opportunity to learn more about it.

V. User Privacy Protection

When you use our products or services, we will take all appropriate measures to ensure that your personal data is secure and your privacy is protected. By registering to become a user or using our products or services, you acknowledge that we will use your data in accordance with our Privacy Policy (https://www.sf-express.com/cn/en/Privacy_Policy/). We will inform you of our collection and processing of your personal data through our Privacy Policy (https://www.sf-express.com/cn/en/Privacy_Policy/) and our Cookies Policy https://osms.sf-express.com/osms/aps/register/cookiePrivacyPage.pub and we recommend that you fully read and understand these policies.

In order to provide you with our products or services, we may ask you to provide us with personal data or other information about a third party (for example, information about a recipient other than yourself). In such cases, you (i) warrant that you will provide us with such third party's personal data or other information in compliance with all applicable privacy laws and will not put us in breach of such laws by providing us with such data or information; (ii) agree that you have the right or the authorization to provide us with such personal data or information; and (iii) authorise us to process such personal data or information in accordance with this Agreement and the Additional Terms and the Privacy Policy described above.

VI. Intellectual Property

The intellectual property rights of the SF International Business System and our domain name, website design, text, logo, trademark, graphic, source code, software and other related content shall belong to SF and you agree to respect and use them in strict compliance with the relevant laws and regulations and the provisions of this Agreement and the Additional Terms. The absence of a specific statement of rights with respect to certain matters does not indicate that SF does not have rights to them, nor does it indicate that SF waives its rights or does not assert its rights. The use of our products or services does not grant you ownership of any intellectual property rights pertaining to our products or services or the content you access. These terms of products and services do not grant you the right to use the logos or trademarks of our products or services.

VII. Warranties, Limitations of Liability and Disclaimers

We provide our products and services to you through a commercially reasonable level of skill and attention, and we hope you to be pleased during the process. However, except for the particular warranties explicitly provided by SF in this Agreement and the Additional Terms pertaining to our products or services, to the extent permitted by the applicable laws, we exclude all warranties as to our products or services. For example, we give no warranties regarding the content of the products or services, the functionality of particular products or services, or their reliability, availability, or capability to meet your needs.

To the extent permitted by the applicable laws, SF shall not be held liable for any loss of profits, revenues, data or finances, as well as indirect, special, consequential, exemplary or punitive damages. To the extent permitted by the applicable laws, SF’s aggregate liability for any claims under this Agreement (including any implied warranties) is limited to the amount paid by you to us for the use of this product or service (or, at our option, to the provision of such products or services to you again). In no event will SF be held liable for any loss or damage that is not reasonably foreseeable. If you use our products or services for your own personal purposes, nothing in this Agreement or in the Additional Terms will limit any statutory consumer rights which cannot be waived by contract.

For your convenience and further information, we may provide the products or services to you through third party platforms (such as app store providers) or other third party channels, or embedded third party applications, tools, widgets and plug-ins (such as payment tools) on our websites and applications. Such third party services are independently operated by and are the sole responsibility of such third party. SF shall not be held liable for any disputes arising out of the third party services, or for any damages that you may suffer when using the third party services, which will be resolved by negotiation between you and the third party.

VIII. Notices and Amendments

SF reserves the right to revise this Agreement and the Additional Terms in their entirety and to interpret them to the fullest extent permitted by the applicable laws. We may revise this Agreement and the Additional Terms to reflect changes in law, changes in products or services, or for other reasons by posting notice of such revisions on our website and we recommend that you review them periodically. All modifications will not apply retroactively and will not become effective until fourteen (14) days or more after they are posted. However, special modifications to new features of products or services or modifications made for legal reasons will be effective immediately. If you do not agree with our changes to the relevant terms, you have the right to stop using our products or services. Your subsequent use of our products or services will constitute your agreement to our modifications to these terms.

IX. Governing Law and Dispute Resolution

The conclusion, interpretation, modification, performance and dispute resolution of this Agreement shall be governed by the laws and regulations of the People's Republic of China (hereinafter referred to as "China", for the purpose of this agreement, excluding Hong Kong, Macau and Taiwan). If any dispute arises between the parties concerning the contents of this Agreement or its enforcement, the parties shall resolve it amicably through negotiation; in case of failure to do so, either party may file a lawsuit with the people’s court of the place where SF is located.

For the avoidance of doubt, the courts of some countries/areas will not apply the laws of China to certain types of disputes. If you reside in one of those countries/areas where the laws of China do not apply, the laws of your country/area will apply to such disputes related to this Agreement. Otherwise, you agree that the laws of China will apply to any disputes arising out of or relating to this Agreement. Likewise, if the courts of your country/area will not allow you to consent to the jurisdiction and venue of the courts in China, the jurisdiction and venue of your local court will apply to such disputes relating to this Agreement. Otherwise, you agree that all claims arising out of or relating to this Agreement will be litigated exclusively in the courts of China.

X. Miscellaneous

In the event of a conflict between this Agreement and the Additional Terms, the Additional Terms shall prevail. This Agreement governs the relationship between SF and you and does not grant any third party beneficiary rights. If you do not comply with this Agreement and we do not take immediate action, this does not indicate that we waive any rights we may have (for example, to take action in the future). If any provision of this Agreement is unenforceable, it does not affect the validity of the other provisions.

Agreement of collecting personal data

Personal data registered with S.F. Express Co., Ltd. will be handled appropriately in accordance with the methods specified below.

The personal data registered with S.F. Express may be accessed and used for the purposes specified below and shall not be used for any other purpose.

(2)To communicate with customers if necessary

2.The decision in providing personal data and the possible consequences of not providing the information

It is totally your decision to provide S.F. Express with your personal data. However, if you decline, it may affect the pickup and delivery services by S.F. Express.

5.Provision of personal data to third parties

S.F. Express shall not make your personal data available to any third party except for cases as prescribed by laws and regulations.

Requests by individual customers to receive notifications of the purposes to disclose their personal data; to modify, make supplement or delete their personal data; to cease access to their personal data by any third party should be submitted to the contact window specified below. All such requests should be processed promptly after confirming the authenticity and veracity of the requesting party. (Please note that S.F. Express will / should not make personal data available to any third party. Marks of “It is customers’ sole right not to provide any personal data to any third party” should be made.)
